These Terms of Use, hereinafter referred to as the "Terms", govern access to and use of the website, application, interface, tools, API, and other features of [project name], hereinafter referred to as the "Service".
By using the Service, connecting a wallet, creating a token, creating a market, creating a liquidity pool, adding or removing liquidity, submitting bundle transactions, or performing any other action through the Service, you confirm that you have read, understood, and accepted these Terms.
If you do not agree with these Terms, you must not use the Service.
1. Nature of the Service
The Service is a non-custodial software interface for interacting with the Solana blockchain infrastructure and third-party protocols.
The Service may allow users to:
- create tokens on Solana;
- create OpenBook markets;
- create liquidity pools;
- add and remove liquidity;
- create and submit bundle transactions through Jito;
- connect cryptocurrency wallets;
- interact with third-party blockchain protocols and infrastructure services.
The Service provides only a technical interface. All actions are performed by the user independently, voluntarily, and at the user's own risk.
The Service is not an exchange, broker, dealer, investment adviser, financial intermediary, custodian, payment provider, token issuer, token operator, market maker, trading platform, or regulated financial service.
We do not manage user assets, accept funds for custody, execute transactions on behalf of users, or make investment decisions for users.
2. Experimental and High-Risk Nature of the Service
The Service may be in a test, experimental, beta, or actively developing stage.
Some features may be incomplete, unstable, temporarily unavailable, subject to change, or may not work as expected.
The Service may contain errors, bugs, vulnerabilities, inaccuracies, delays, failures, compatibility issues, incorrect data display, incorrect transaction construction, interface errors, or unexpected behavior.
By using the Service, you expressly acknowledge and agree that:
- the Service may work incorrectly;
- some features may break;
- data may be displayed incorrectly;
- transactions may be constructed incorrectly;
- transactions may fail;
- transactions may execute differently from what you expected;
- using the Service may result in loss of funds.
In plain terms: things may break. You should use the Service only if you understand and accept this risk.
We do not guarantee that the Service will be uninterrupted, secure, error-free, accurate, stable, or free from technical failures.
3. Independent Transaction Signing
All transactions performed through the Service are signed by the user independently.
Before signing any transaction, the user is solely responsible for reviewing and verifying all parameters, including but not limited to:
- wallet address;
- token address;
- mint address;
- market address;
- pool address;
- transaction amount;
- fees;
- priority fee;
- Jito tip;
- slippage;
- permissions;
- approvals;
- token creation parameters;
- market creation parameters;
- liquidity pool creation parameters;
- liquidity adding or removal parameters;
- the order and content of bundle transactions.
Signing a transaction means that the user has independently approved its parameters and accepts all consequences of such transaction.
We are not responsible for transactions signed by the user, even if the user:
- did not understand the transaction;
- did not review the parameters;
- entered or selected the wrong address;
- selected the wrong token;
- entered the wrong amount;
- configured the pool, market, slippage, fee, or tip incorrectly;
- signed the transaction accidentally;
- signed the transaction under the influence of third parties;
- expected a different result.
Blockchain transactions may be irreversible. Once a transaction is signed and submitted, it may be impossible to cancel, modify, reverse, or recover.
4. Risk of Loss of Funds
By using the Service, you understand and accept the risk of partial or total loss of funds.
Loss of funds may occur for many reasons, including but not limited to:
- user error;
- interface bugs;
- frontend code bugs;
- backend infrastructure bugs;
- incorrect data display;
- incorrect transaction construction;
- incorrect transaction parameters;
- failed or rejected transactions;
- Solana network failures;
- RPC failures;
- Jito failures;
- OpenBook failures;
- third-party wallet failures;
- third-party protocol failures;
- network congestion;
- execution delays;
- high volatility;
- lack of liquidity;
- impermanent loss;
- slippage;
- MEV;
- front-running;
- sandwich attacks;
- oracle failures;
- exploits;
- hacks;
- phishing;
- malware;
- malicious browser extensions;
- device compromise;
- private key entry;
- private key leakage or compromise;
- changes in law or regulation;
- sanctions restrictions;
- actions of third parties.
You should use the Service only if you are prepared to accept the risk of total loss of funds.
We do not guarantee the safety of funds, recovery of funds, compensation for losses, profitability, yield, liquidity, transaction execution, or achievement of any expected result.
5. Eligibility
You may use the Service only if you are legally permitted to do so in your jurisdiction.
You are solely responsible for complying with all applicable laws, rules, and restrictions, including but not limited to laws relating to crypto assets, securities, financial services, taxation, sanctions, anti-money laundering, and counter-terrorist financing.
We do not guarantee that the Service is permitted, available, or suitable for use in your country, region, or jurisdiction.
By using the Service, you confirm that your use does not violate any laws or restrictions applicable to you.
6. Restricted Jurisdictions
The Service is not intended for use by persons located in, residing in, incorporated in, or having their usual place of residence in restricted jurisdictions.
Restricted jurisdictions include:
- the United States of America;
- the United Kingdom;
- countries of the European Union;
- Canada;
- countries and territories subject to sanctions imposed by the United Nations, OFAC, the European Union, the United Kingdom, or other applicable sanctions authorities;
- any other jurisdiction where use of the Service is prohibited by law.
The Service may also not be used by persons included in sanctions lists, or by persons acting on behalf of or for the benefit of such persons.
By using the Service, you confirm that:
- you are not located in a restricted jurisdiction;
- you are not a resident of a restricted jurisdiction;
- you are not using the Service on behalf of a person from a restricted jurisdiction;
- you are not included in any sanctions list;
- you are not using the Service to evade sanctions, AML, CTF, export control, or other legal restrictions.
We may restrict access to the Service for certain countries, regions, IP addresses, wallets, or users if we consider it necessary for legal compliance, sanctions compliance, risk management, or protection of the Service.
7. Non-Custodial Status
The Service is non-custodial.
We do not hold user funds, manage user assets, accept deposits, process withdrawals on behalf of users, or control user wallets.
All transactions are performed by the user independently through a connected wallet, local signing, the Solana blockchain, third-party protocols, or infrastructure services.
The user is solely responsible for their wallets, private keys, seed phrases, devices, browser extensions, permissions, signatures, and all actions performed through their wallet.
8. Wallet Connection and Private Keys
To use certain features of the Service, the user may need to connect a cryptocurrency wallet.
Connecting a wallet does not transfer control over your assets to us. However, any action you confirm through your wallet may have legal, financial, and technical consequences.
For certain features, including submitting bundle transactions, the Service may allow the user to enter a private key into the interface.
Such private key is used locally in the user's browser to construct and sign the relevant transactions. The Service is not intended to store private keys on the server and should not use them for any purpose other than local construction and signing of the relevant transactions.
However, you understand that entering a private key into a web interface is a high-risk action.
Such risks may include:
- phishing;
- website spoofing;
- malicious browser extensions;
- malware;
- device compromise;
- XSS attacks;
- code errors;
- browser errors;
- user error;
- data interception;
- clipboard malware;
- leakage through third-party tools, extensions, analytics, logs, or infrastructure;
- total loss of funds.
You agree not to enter the private key of your main wallet or any wallet holding significant assets.
For features requiring private key entry, you must use only a separate temporary wallet with a limited balance.
If you enter a private key into the interface, you do so independently, voluntarily, and at your own risk.
We never ask for your seed phrase. If anyone requests your seed phrase on behalf of the Service, it may be a scam.
9. Token Creation
The Service may provide a technical ability to create tokens on Solana.
The user is solely responsible for any tokens created through the Service, including their name, ticker, image, description, metadata, supply, mint authority, freeze authority, distribution, marketing, promotion, use, legal status, and consequences of issuance.
We are not the issuer, owner, operator, promoter, market maker, or guarantor of any tokens created by users through the Service.
We do not verify or confirm the legality, quality, value, safety, purpose, economic model, or legal status of tokens created by users.
Creating a token through the Service does not imply our approval, partnership, support, recommendation, endorsement, or involvement in such token.
The user agrees not to create tokens through the Service that:
- violate applicable law;
- infringe third-party rights;
- use third-party brands, trademarks, names, logos, or reputation without permission;
- mislead users;
- impersonate known projects, companies, public figures, or tokens;
- are used for fraud, rug pulls, pump-and-dump schemes, market manipulation, or other unfair activity;
- are connected to sanctioned persons, prohibited organizations, or illegal activity;
- may be considered illegal securities, financial instruments, or regulated products in any relevant jurisdiction.
You are solely responsible for all risks and liabilities associated with creating, using, distributing, or promoting any token.
10. OpenBook, Markets, and Liquidity
The Service may allow users to create OpenBook markets and interact with them.
The user independently decides whether to create a market, choose parameters, create a liquidity pool, add liquidity, remove liquidity, or perform any related action.
We do not guarantee:
- availability of liquidity;
- trading volume;
- asset price;
- price stability;
- order execution;
- absence of slippage;
- ability to buy or sell an asset;
- ability to exit a position;
- profitability;
- yield;
- successful creation of a market or pool;
- proper functioning of third-party protocols.
Liquidity operations may result in losses, including impermanent loss, market losses, technical errors, failed transactions, lost fees, liquidity problems, user errors, or total loss of funds.
You understand that creating liquidity or a market does not create any guarantee of demand, price, trading volume, or economic result.
11. Bundle Transactions Through Jito
The Service may allow users to create and submit bundle transactions through Jito infrastructure.
We do not control Jito, validators, RPC providers, the Solana blockchain, mempool behavior, transaction processing order, or transaction inclusion in a block.
We do not guarantee that a bundle will be accepted, processed, executed, included in a block, or produce the expected result.
Bundle transactions may:
- fail to execute;
- execute partially;
- execute with delay;
- be rejected;
- be displaced by other transactions;
- lead to unexpected consequences;
- result in loss of fees;
- result in loss of funds.
You are solely responsible for bundle transaction parameters, fees, priority fees, tips, transaction order, wallets used, and the final result.
12. Fees and Costs
The Service may charge a minimal service fee when creating a liquidity pool.
The amount of the fee may be displayed to the user before the relevant action is performed, where technically possible.
In addition to any service fee, the user is solely responsible for all applicable network fees, rent, priority fees, tips, third-party protocol fees, infrastructure provider fees, and other costs related to blockchain transactions.
Fees may be non-refundable even if the transaction does not produce the expected result.
We do not control network fees, the behavior of the Solana blockchain, fees charged by third-party protocols, or conditions of third-party infrastructure.
13. Backend, Logs, and User Data
The Service may use minimal backend infrastructure to support the technical operation of certain features.
We do not intend to store users' personal data, private keys, seed phrases, or data that would allow access to user assets.
However, when using the Service, certain data may be technically processed, such as IP address, device data, browser data, public wallet address, transaction data, timestamps, logs, or other technical information necessary for operation, security, abuse prevention, analytics, or diagnostics of the Service.
Public blockchain data, including wallet addresses, transactions, created tokens, markets, and liquidity pools, may be publicly available on Solana and through third-party blockchain explorers.
You understand that blockchain systems are not fully private or anonymous.
Additional data processing matters may be governed by a separate Privacy Policy, if such policy is published within the Service.
14. User Responsibility
You are solely responsible for all actions performed through the Service, including:
- connecting wallets;
- signing transactions;
- entering private keys;
- creating tokens;
- creating markets;
- creating liquidity pools;
- adding and removing liquidity;
- submitting bundle transactions;
- granting permissions;
- paying fees;
- interacting with third-party protocols;
- complying with applicable law.
You agree to independently verify all parameters before confirming any transaction.
If you do not understand a transaction, its parameters, the consequences of signing it, or the risks of a particular action, you must not sign such transaction.
15. No Financial, Investment, Legal, or Tax Advice
Information displayed or provided through the Service is for informational, technical, and experimental purposes only.
Nothing in the Service constitutes:
- financial advice;
- investment advice;
- trading signals;
- legal advice;
- tax advice;
- an offer to buy or sell assets;
- a solicitation to invest;
- a guarantee of profit;
- a recommendation to create, buy, sell, or hold any token.
You make all decisions independently and at your own risk.
Before taking any action involving crypto assets, DeFi protocols, tokens, liquidity, or bundle transactions, you should conduct your own research and, where necessary, consult qualified professionals.
16. Crypto, DeFi, and Blockchain Risks
You understand and accept that crypto assets, DeFi protocols, smart contracts, and blockchain systems involve significant risks.
Such risks include, but are not limited to:
- high market volatility;
- loss of asset value;
- loss of liquidity;
- impermanent loss;
- smart contract bugs;
- vulnerabilities and exploits;
- hacks;
- oracle failures;
- RPC, API, or infrastructure failures;
- failures of bridges, protocols, or wallets;
- network congestion;
- failed transactions;
- execution delays;
- transaction irreversibility;
- user errors;
- phishing;
- malicious websites or extensions;
- changes in law;
- regulatory restrictions;
- sanctions risks;
- total loss of funds.
We do not guarantee yield, profit, rewards, liquidity, safety of funds, successful transaction execution, network stability, or increase in value of any asset.
17. Third-Party Services and Protocols
The Service may interact with third-party wallets, blockchains, DeFi protocols, OpenBook, Jito, RPC providers, APIs, analytics tools, aggregators, exchanges, data providers, hosting providers, and other services.
We do not control third-party services and are not responsible for their operation, security, availability, data accuracy, fees, actions, omissions, errors, failures, or consequences of use.
Use of third-party services may be governed by their own terms, policies, and rules.
If a third-party service becomes unavailable, changes its terms, stops operating, malfunctions, or causes losses, we are not responsible for it.
18. Prohibited Use
You agree not to use the Service for:
- illegal activity;
- fraud;
- money laundering;
- financing prohibited activity;
- sanctions evasion;
- violation of export controls;
- market manipulation;
- pump-and-dump schemes;
- rug pull schemes;
- creation of misleading tokens;
- impersonation of other projects, brands, companies, or public figures;
- hacking, attacks, or exploitation of vulnerabilities;
- unauthorized access to systems;
- disruption of the Service;
- DDoS attacks;
- distribution of malicious code;
- automated data collection without permission;
- violation of third-party rights;
- infringement of intellectual property;
- any action that violates applicable law.
If you discover a vulnerability, error, or security issue, you agree not to use it against the Service, users, or third parties.
We may restrict or terminate access to the Service if we suspect prohibited use.
19. Errors, Bugs, Vulnerabilities, and Emergency Measures
The Service may contain unknown errors, bugs, vulnerabilities, or defects.
We do not guarantee detection, prevention, correction, or timely remediation of all errors, bugs, vulnerabilities, attacks, or technical issues.
We may at any time, without prior notice:
- disable any feature;
- restrict access to the Service;
- suspend operation of the Service;
- change the interface;
- change the logic of operation;
- disable integrations;
- block certain addresses, IPs, regions, or actions;
- take any other emergency measures.
Such measures may be taken if we believe there is a technical, financial, legal, regulatory, sanctions-related, operational, or other risk to the Service, users, or third parties.
We are not responsible for losses, damages, missed opportunities, failed transactions, delays, unavailable features, or other consequences resulting from such measures.
20. Intellectual Property
All rights to the Service, including design, interface, text, graphics, logos, software code, database, structure, brand, domain name, and other materials, belong to us or our licensors, unless expressly stated otherwise.
You may not copy, modify, distribute, sell, rent, decompile, extract source code, create derivative works from, or use the Service or any part of it without our prior written consent, except where expressly permitted by law or an applicable open-source license.
Use of the Service does not grant you any rights to our intellectual property.
21. Availability and Changes to the Service
We may modify, update, restrict, suspend, or discontinue any part of the Service at any time without prior notice.
We are not obligated to keep any specific features, interfaces, integrations, data, protocols, or tools available.
The Service may be unavailable due to maintenance, errors, bugs, attacks, network congestion, actions of third parties, infrastructure issues, changes in third-party protocols, or other reasons.
We are not responsible for Service unavailability, delays, errors, data loss, inability to perform a transaction, or inability to access a specific feature.
22. No Warranties
The Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we provide no warranties, whether express or implied, including warranties of:
- uninterrupted operation;
- absence of errors;
- absence of bugs;
- absence of vulnerabilities;
- security;
- data accuracy;
- correct data display;
- correct transaction construction;
- fitness for a particular purpose;
- merchantability;
- meeting user expectations;
- compatibility with any devices, wallets, networks, or protocols;
- successful transaction execution;
- safety of funds;
- absence of malicious code or third-party attacks.
You use the Service entirely at your own risk.
23. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any direct, indirect, incidental, special, punitive, consequential, or other damages, including but not limited to:
- loss of funds;
- loss of profits;
- loss of data;
- loss of wallet access;
- compromise of a private key;
- failed transactions;
- user errors;
- incorrect transaction parameters;
- errors, bugs, or vulnerabilities of the Service;
- incorrect operation of frontend or backend;
- incorrect data display;
- incorrect transaction construction;
- failures of the Solana network;
- actions or omissions of Jito, OpenBook, RPC providers, wallets, or other third-party services;
- smart contract vulnerabilities;
- changes in market value of assets;
- inability to create a token, market, or liquidity pool;
- inability to add or remove liquidity;
- inability to submit or execute a bundle transaction;
- blocked access;
- regulatory actions;
- sanctions restrictions;
- inability to use the Service.
This limitation of liability applies regardless of the legal basis of the claim, including contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
You agree that any claims related to use of the Service shall be limited to the maximum extent permitted by law and may not include indirect, consequential, punitive, or speculative damages.
24. Indemnification
You agree to indemnify and hold harmless us, our participants, developers, contractors, partners, service providers, and affiliates from and against any losses, costs, claims, demands, penalties, expenses, and legal fees arising out of or related to:
- your use of the Service;
- your violation of these Terms;
- your violation of applicable law;
- your violation of third-party rights;
- creation, use, distribution, or promotion of any token through the Service;
- use of the Service for prohibited activity;
- actions performed through your wallet, device, or account;
- transactions signed by you;
- markets, liquidity pools, or bundle transactions created by you;
- third-party claims related to your tokens, markets, pools, transactions, or other actions.
25. Suspension or Restriction of Access
We may restrict, suspend, or terminate your access to the Service if we believe that you:
- violated these Terms;
- use the Service unlawfully;
- create risk to the Service, us, users, or third parties;
- attempt to attack, bypass restrictions, or exploit vulnerabilities;
- violate sanctions, financial, AML, tax, or other applicable requirements;
- use the Service from a restricted jurisdiction;
- create or promote fraudulent, misleading, or unlawful tokens.
We may also restrict access to the Service for technical, legal, regulatory, sanctions-related, or operational reasons.
26. Changes to the Terms
We may update these Terms from time to time.
The current version of the Terms will be published on this page.
Continued use of the Service after updated Terms are published means that you accept the updated version.
If you do not agree with the updated Terms, you must stop using the Service.
27. Governing Law and Dispute Resolution
These Terms are governed by the laws of the British Virgin Islands, unless otherwise required by applicable mandatory law.
Any disputes, claims, or controversies arising out of or relating to these Terms, use of the Service, or related actions shall be resolved in accordance with the laws of the British Virgin Islands.
You agree that any disputes shall be handled individually and may not be combined with claims of other users, unless otherwise required by applicable law.
If any section of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in effect to the maximum extent permitted by law.
Important: the choice of governing law does not mean that the Service is available in all jurisdictions or that the user is exempt from complying with the laws of their own country.
28. No Partnership
Use of the Service does not create any partnership, joint venture, agency, employment, fiduciary, or representative relationship between you and us.
You may not claim that we support, approve, sponsor, endorse, or participate in your tokens, markets, liquidity pools, projects, or other actions.
29. Waiver and Severability
If we fail to exercise any right or provision under these Terms, this shall not be considered a waiver of such right or provision.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
30. Entire Agreement
These Terms, together with any other documents, notices, warnings, policies, or rules published within the Service, if such documents, notices, policies, or rules are available, constitute the entire agreement between you and us regarding use of the Service.
In case of conflict between these Terms and other materials of the Service, these Terms shall prevail unless expressly stated otherwise.
